Welcome to Linkerr. These Terms of Use ("Terms") govern your access to and use of the Linkerr platform, website, services, and any related applications (collectively, the "Platform").
By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Platform.
Linkerr is a mentoring marketplace that connects educational institutions, alumni mentors ("Experts"), and students through AI-powered matching, scheduling, and content tools. These Terms apply to all users, including Institutions, Experts, and Students.
"Institution" means any university, college, career services office, alumni services office, or educational organization that partners with Linkerr to activate a campus marketplace.
"Expert" or "Founding Expert" means any alumni, professional, or organizational representative who registers on the Platform to provide mentoring services to students.
"Student" means any individual who receives mentoring, guidance, or career support through the Platform via an Institution's marketplace.
"AI Assistant" means the dedicated artificial intelligence agent assigned to each Expert, trained on the Expert's professional expertise to support mentees between sessions.
"AI Studio" means Linkerr's content creation tools that enable Experts to build career guides and learning content.
"Campus Marketplace" means the customized, institution-branded section of the Platform where mentoring connections are facilitated.
"Founding Expert Badge" means the permanent profile designation awarded to Experts who join during the founding period.
To use the Platform, you must be at least 18 years of age or the age of majority in your jurisdiction, whichever is greater. Institutions must be accredited educational organizations or authorized career/alumni services offices. Experts must provide accurate professional information and be approved by their affiliated Institution before connecting with students.
You must provide accurate, complete, and current information when creating an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify Linkerr immediately of any unauthorized use of your account.
4.1 Early Access Program
Linkerr offers a limited early access program for Institutions. Early access is available to the first 25 qualifying institutions on a first-come, first-served basis. During the early access period, the Platform is provided at no cost to the Institution. Linkerr reserves the right to modify or terminate the early access program at any time.
4.2 Governance and Control
Institutions retain full governance over their Campus Marketplace. This includes the right to approve or deny any Expert or partner before they connect with students. No mentor-student connection occurs without the Institution's explicit authorization. Institutions are responsible for ensuring their use of the Platform complies with their own internal policies and applicable regulations.
4.3 Data Ownership
Institutional data, including student records and engagement metrics, remains the property of the Institution. Linkerr processes this data solely to operate the Platform and provide services. Linkerr does not sell institutional data to third parties. The Platform is designed to be FERPA-aligned, and Institutions are responsible for ensuring their use complies with FERPA and any other applicable privacy regulations.
4.4 Marketplace Setup
Linkerr provides Institutions with a customized Campus Marketplace, alumni outreach templates, AI-powered matching, scheduling tools, and impact dashboards. Linkerr handles technical setup. The Institution is responsible for inviting alumni and managing governance approvals.
5.1 Founding Expert Program
The Founding Expert program is available to the first 75 qualifying alumni during the founding period. Founding Experts receive: a dedicated AI Assistant trained on their professional expertise, a personalized marketplace page, access to AI Studio for content creation, and a permanent Founding Expert Badge. The founding period lasts six months from the Expert's enrollment date.
5.2 Commitments
Founding Experts commit to a minimum of one hour of mentoring per month for six months. Experts start with up to 5 mentees and may grow from there. Mentoring sessions are scheduled around the Expert's availability. The AI Assistant handles scheduling, follow-ups, and between-session mentee support.
5.3 Expert Content
Experts may create career guides, learning content, and other materials using AI Studio. Experts retain ownership of original content they create. By publishing content on the Platform, Experts grant Linkerr a non-exclusive, worldwide, royalty-free license to display, distribute, and promote such content within the Platform for the purpose of facilitating mentoring connections.
5.4 Expert Conduct
Experts must provide honest, professional guidance. Experts must not engage in harassment, discrimination, or any conduct that violates applicable laws. Experts must not solicit students for commercial purposes outside the Platform. Linkerr reserves the right to remove any Expert who violates these terms or whose conduct is deemed harmful to students or the Platform community.
5.5 Post-Founding Period
After the six-month founding period, Experts may continue on a paid plan with Pro features or remain on a free tier with core features. The Founding Expert Badge, mentee connections, and published content remain with the Expert regardless of which plan they choose. Nothing built during the founding period is removed.
Students access the Platform through their Institution's Campus Marketplace. Students must be enrolled at or affiliated with a participating Institution. Students are expected to engage respectfully with Experts and to use mentoring guidance as one input in their career decision-making. The Platform provides career guidance and connections; it does not guarantee employment outcomes.
The Platform uses artificial intelligence for mentor-student matching, scheduling, follow-up communications, and the AI Assistant feature. AI-generated recommendations and content are provided as tools to facilitate mentoring, not as professional advice. Users should exercise independent judgment when acting on AI-generated information. Linkerr continuously improves its AI systems but does not guarantee the accuracy, completeness, or suitability of AI outputs.
You agree not to: use the Platform for any unlawful purpose; impersonate any person or entity; upload malicious software or code; attempt to gain unauthorized access to the Platform or other users' accounts; use the Platform to harass, abuse, or harm others; scrape, mine, or extract data from the Platform without authorization; use the Platform to send unsolicited commercial communications; or interfere with the Platform's operation or other users' experience.
The Linkerr name, logo, visual design, software, AI models, and all Platform content not created by users are the exclusive property of Linkerr or its licensors. Users may not copy, modify, distribute, or create derivative works from Linkerr's intellectual property without prior written consent. Expert-created content is governed by Section 5.3 above.
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. LINKERR DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. LINKERR DOES NOT GUARANTEE EMPLOYMENT OUTCOMES, MENTORING QUALITY, OR THE ACCURACY OF AI-GENERATED CONTENT.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LINKERR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM. LINKERR'S TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO LINKERR IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.
You agree to indemnify and hold harmless Linkerr, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Platform, your violation of these Terms, your violation of any third-party rights, or any content you submit to the Platform.
You may terminate your account at any time by contacting Linkerr. Linkerr may suspend or terminate your access to the Platform at any time, with or without cause, with or without notice. Upon termination, your right to use the Platform ceases immediately. Provisions that by their nature should survive termination shall survive, including ownership, disclaimers, indemnification, and limitations of liability.
For Experts: upon termination, your Founding Expert Badge (if earned), your published content, and your mentee connection history are retained per Section 5.5. For Institutions: upon termination, Linkerr will provide reasonable assistance in exporting institutional data.
Linkerr reserves the right to modify these Terms at any time. Material changes will be communicated via email or through the Platform at least 30 days before they take effect. Your continued use of the Platform after changes become effective constitutes acceptance of the modified Terms. If you disagree with any changes, you must stop using the Platform and terminate your account.
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any dispute arising under these Terms shall first be submitted to good-faith mediation. If mediation is unsuccessful, disputes shall be resolved by binding arbitration in accordance with the rules of the American Arbitration Association, conducted in Delaware. Nothing in this section prevents either party from seeking injunctive or equitable relief in a court of competent jurisdiction.
These Terms constitute the entire agreement between you and Linkerr regarding your use of the Platform. If any provision is found unenforceable, the remaining provisions continue in full force. Linkerr's failure to enforce any right or provision does not constitute a waiver. You may not assign your rights or obligations under these Terms without Linkerr's prior written consent. Linkerr may assign its rights and obligations freely.
